Nebius Stock Plunges as Company Launches $4.5 Billion Convertible Debt Sale

Nebius stock sank roughly 11% on Wednesday, August 19, after Nebius Group unveiled plans for a massive $4.5 billion private offering of convertible senior notes to finance its accelerating AI infrastructure buildout. The Amsterdam-based AI cloud company plans to channel the money into data centers, GPUs and its full-stack cloud platform, but investors immediately focused on the other side of the trade: more debt, potential future dilution and fresh selling pressure on a stock that had soared during 2026.

The headline figure is $4.50 billion, not $450 billion as the provided Seeking Alpha URL text may appear to imply. Nebius confirmed the financing in both its corporate announcement and a Form 6-K furnished to the U.S. Securities and Exchange Commission on August 19.

The market reaction was brutal. NBIS was trading around $220.98 late Wednesday, down approximately 11% from the previous close, after falling as low as $214.08 during the session.

Why NBIS Stock Is Falling After the $4.5 Billion Offering

Nebius intends to sell two separate series of convertible senior notes: $2.75 billion due in 2030 and $1.75 billion due in 2034. Initial purchasers are also expected to receive options to buy up to another $375 million of the 2030 notes and $300 million of the 2034 notes.

That means the financing could ultimately reach $5.175 billion if those options are exercised in full.

Convertible bonds occupy an uncomfortable middle ground for existing shareholders. They begin life as debt, but under specified conditions they can potentially be converted into equity. That raises the prospect that Nebius could eventually issue additional shares, diluting existing investors.

The final interest rates and conversion prices had not been disclosed in the launch announcement, meaning investors still lack two of the most important variables needed to calculate the ultimate financing cost and dilution risk. Nebius said the notes would bear semiannual interest and would be convertible in specified circumstances.

Reuters reported that Nebius is raising the money to increase investment in data centers and computing capacity as demand for AI infrastructure accelerates.

There Is Another Reason Nebius Stock Could Be Under Pressure

Potential dilution is not the only mechanism weighing on NBIS stock.

Nebius disclosed that, alongside the new offering, it expects to negotiate exchanges with some holders of its existing 2% convertible notes due 2029 and 3% convertible notes due 2031. Those securities could be exchanged for Class A ordinary shares.

The company explicitly warned that investors receiving shares through those transactions might sell them in the market or adjust hedging positions. Those activities could push down Nebius‘ share price and could even influence the conversion price attached to the newly issued notes.

MarketWatch also highlighted convertible-arbitrage activity as a possible contributor to Wednesday’s decline. Hedge funds purchasing convertible bonds frequently hedge their equity exposure by shorting the underlying stock, which can add temporary selling pressure even before any actual conversion occurs.

That distinction matters.

A falling Nebius stock price does not automatically mean investors believe the underlying AI business has deteriorated. Part of the decline could reflect the mechanics surrounding a very large convertible financing.

But with billions of dollars involved, shareholders cannot dismiss dilution concerns either.

Nebius Needs Huge Amounts of Cash to Win the AI Infrastructure Race

The size of the offering looks extraordinary until Nebius‘ capital expenditure ambitions are considered.

The company is competing in one of the most capital-intensive parts of the artificial-intelligence boom. AI cloud providers need enormous quantities of Nvidia GPUs, data-center capacity, networking equipment, land and—perhaps most critically—electric power.

Nebius said proceeds from the new convertible notes would help finance data-center construction, expansion of its global footprint, development of its AI cloud and purchases of major components including GPUs.

The spending is already enormous.

During the second quarter, purchases of property, equipment and intangible assets reached approximately $5.66 billion, compared with just $511 million a year earlier. Across the first six months of 2026, those purchases totaled roughly $8.13 billion.

Earlier this year, Nebius raised its 2026 capital expenditure outlook to $20 billion to $25 billion, reflecting growing visibility into customer demand and the company’s race to secure infrastructure before competitors do.

That explains why management continues tapping capital markets even after major financing rounds.

This Is Not Nebius‘ First Giant Convertible Deal

Wednesday’s announcement also matters because it follows another enormous convertible financing only five months earlier.

In March 2026, Nebius priced an upsized $4 billion convertible senior note offering. After purchasers exercised additional options, gross proceeds ultimately reached approximately $4.3 billion.

The March financing consisted of 1.25% convertible notes due 2031 and 2.625% notes due 2033.

Add Wednesday’s proposed $4.5 billion transaction, and Nebius has returned to the convertible market with remarkable speed.

For bulls, that demonstrates access to institutional capital at a moment when AI infrastructure demand is booming.

For bears, it shows just how much external financing is required to maintain the company’s current growth trajectory.

Both interpretations can be true at the same time.

The Bull Case: Nebius Revenue Is Exploding

Investors dumping NBIS stock are doing so just one week after Nebius reported spectacular second-quarter growth.

Revenue reached $582.3 million in Q2 2026, rising 454% from $105.1 million a year earlier. Adjusted EBITDA swung from a $21 million loss to a $236.2 million profit.

Its core AI cloud operation generated roughly $575 million of quarterly revenue, while annualized recurring revenue reached approximately $3 billion. The company said demand remained strong and reaffirmed its full-year outlook.

Investors initially celebrated those numbers.

MarketWatch reported that Nebius shares surged following the Q2 release as investors reacted to rapid AI-cloud growth and improving profitability. The company also said it had secured four major deals during the quarter with average total contract values above $1 billion.

That growth is precisely why management is willing to spend so aggressively.

Nebius is essentially betting that billions invested today in GPUs and data centers will translate into substantially larger contracted revenue tomorrow.

The Bear Case: Growth Comes With Financing Risk

The problem is that Nebius is trying to scale infrastructure faster than internally generated cash alone can comfortably fund it.

Its Q2 financial statements show just how extreme that expansion has become.

Even though adjusted EBITDA improved dramatically, Nebius still recorded a $190.4 million GAAP loss from continuing operations during the quarter. Interest expense reached $119.1 million, up sharply as financing obligations expanded.

The balance between revenue growth and financing cost will therefore become increasingly important to the Nebius stock forecast.

If new data centers ramp quickly, utilization remains strong and AI customers continue signing large contracts, investors may eventually view today’s convertible issuance as growth capital deployed into an extraordinary demand cycle.

But if AI infrastructure demand slows, GPU economics weaken or customers delay spending, Nebius could be left supporting a much larger debt stack against assets that require constant reinvestment.

That asymmetric risk helps explain why the stock reacted so sharply.

NBIS Stock Investors Face a Classic AI Infrastructure Trade-Off

Nebius increasingly represents one of the purest public-market bets on AI compute demand.

The upside is enormous operating leverage.

Revenue grew more than fivefold year over year in the latest quarter, while adjusted EBITDA turned decisively positive. Nebius has also secured major customers including Meta and Microsoft, and management has repeatedly said demand for AI capacity is exceeding available supply.

The downside is equally obvious: building enough capacity to satisfy that demand requires breathtaking amounts of capital.

Competitor CoreWeave faces similar scrutiny, and investors have become increasingly sensitive to debt levels, power constraints and the economics of massive GPU fleets. Nebius‘ latest financing reminds markets that the AI infrastructure boom is not simply a revenue-growth story—it is also one of the largest capital-allocation experiments underway in technology.

The eventual winner will not merely be the company that builds the most data centers.

It will be the company that earns sufficient returns on them.

What Happens Next for Nebius Stock?

Investors should first watch for the pricing announcement on the new convertible notes. The coupon rates, conversion premiums and final offering size will determine how expensive the financing really is and how much potential dilution shareholders face.

The proposed exchanges involving older convertible notes are another crucial variable. Nebius itself warned that share sales and derivatives activity connected with those exchanges could pressure NBIS stock.

Beyond the financing mechanics, the bigger test is execution.

Nebius must convert its staggering $20 billion-to-$25 billion investment program into enough revenue, cash flow and long-term customer commitments to justify the capital being deployed. Its recent Q2 numbers suggest demand is currently running hot—but the financing requirement is growing almost as dramatically as the business itself.

For NBIS stock holders, that sets up a high-stakes contest between AI growth and dilution risk.

And once Nebius reveals the conversion terms on this $4.5 billion deal, investors may finally discover which side of that equation the market fears most.
